Terms and conditions for Markedsoversigten.dk

These terms and conditions apply to all purchases of services made through Markedsoversigten.dk. When purchasing digital services such as advertising and marketing, you accept these terms and conditions.

1. Parties and Use

  • These terms and conditions apply to both businesses (B2B) and consumers (B2C). If the terms and conditions also cover sales to consumers, separate provisions governing consumer contracts are needed.

2. Offer and Order

  • Offers are only valid if stated in writing.
  • Orders are binding when the buyer has received an order confirmation with prices and terms.
  • All prices are exclusive of VAT unless otherwise clearly stated.

3. Prices and Payment Terms

  • Payment can be made by credit card or bank transfer to the account provided. Payment must be made within 8 days of the invoice date, unless otherwise agreed.
  • Seller reserves the right to adjust prices in the event of changes in raw material prices, exchange rates or other factors beyond Seller's control.
  • In the event of late payment, interest (morarante) will accrue in accordance with applicable legislation.

4. Delivery, Duty of Inspection and Retention of Title

  • Delivery takes place digitally via the platform or email within 24-48 hours after payment, unless otherwise agreed.
  • The delivery time is indicative, and delay does not automatically entitle you to compensation or termination of the agreement.
  • Duty to inspect: The buyer must inspect the delivered product immediately upon delivery. Complaints about defects or deficiencies must be made within a reasonable period of time after receipt.
  • Retention of title: Ownership of the delivered product only passes to the buyer when full payment has been received.

5. Cancellation and Right of Withdrawal

  • For B2C customers: According to Danish law, consumers have the right to cancel purchases of digital services until delivery has begun. Once delivery has begun with consent, the right of withdrawal lapses.
  • For B2B customers: Cancellation is only possible if this has been agreed in writing and must take place before the start of delivery.

6. Delay

  • If delivery is delayed due to technical problems on the seller's part, the error will be corrected as soon as possible. The buyer has the option of compensation for significant delays, unless the delay is due to circumstances beyond the seller's control (force majeure).

7. Defects and Complaints

  • Right of complaint: There is a right of complaint for 24 months for digital services, valid from the time of delivery.
  • If a defect is discovered, the buyer must contact the seller immediately to report this. The consequence of failure to report a complaint within this period may result in loss of rights.
  • The seller has the right to attempt remediation or replacement, if possible.

8. Guarantees

  • No warranty is given for digital services unless otherwise agreed in writing.
  • Any third-party warranties or support may apply if agreed.

9. Data and Marketing

  • Seller reserves the right to collect and use data in accordance with our [Privacy Policy] and Cookie Policy.
  • Consent to marketing is required for all forms of electronic communication such as emails and SMS, and the customer must be able to unsubscribe easily and free of charge.
  • Limitation of liability: Seller is only liable for direct losses and not for indirect losses as a result of damages, unless specifically agreed.

10. Force Majeure

  • The Seller is not liable for delays or non-delivery due to force majeure events such as natural disasters, war, strike, lockout, technical breakdown or other events beyond the Seller's control. In such cases, the parties may agree to postpone delivery or cancel the order.

11. Confidentiality

  • All information shared between buyer and seller, including prices and contract information, is considered confidential and may not be disclosed to third parties without prior written permission.
  • The buyer may not share or publish information that is not generally known and that may harm the seller's business interests.

12. Changes to Terms and Prices

  • Popcorn Media reserves the right to change terms and prices. Significant changes will be notified via email or on the website.
  • By continuing to use our services after changes, the buyer accepts the updated terms and prices.

13. Applicable law and venue

  • Danish law applies to these terms and conditions, and any disputes must be settled by the Court in Aalborg.
  • The International Sales Convention (CISG) does not apply unless otherwise agreed in writing.
  • In the event of a dispute, the parties may choose to use arbitration in Copenhagen according to the rules of the Danish Arbitration Institute.

14. Product liability

  • Popcorn Media is liable according to mandatory legislation (Product Liability Act).
  • Liability to third parties is limited to the minimum permitted by law and only covers direct losses.
  • Insurance handling is carried out in accordance with applicable insurance agreements.

15. Data and Marketing

  • Popcorn Media processes customer data in accordance with the GDPR and our [Personal Data Policy]. The customer can at any time gain insight into what data is being processed and has the right to have it deleted or corrected.
  • The customer must give explicit consent to receive marketing material. The customer can unsubscribe easily and free of charge via a link in the marketing material.

16. Force Majeure

  • Popcorn Media is not responsible for delays or failure to fulfill agreements due to force majeure, including, but not limited to, natural disasters, war, pandemics, strikes, technical failures or other circumstances beyond our control.
  • In such cases, the agreement may be either suspended or terminated without liability for Popcorn Media.

17. Right of withdrawal (B2C) and cancellation (B2B)

  • For B2C customers: According to Danish law, consumers do not have a right of withdrawal for digital services once delivery has begun with the consumer's consent.
  • For B2B customers: Cancellation of an order can only be made in writing and before delivery has started. Changes can be made if agreed in writing and the advertisement has not yet been published.

18. Complaints and Defects

  • The customer has a right of complaint in accordance with Danish law. For digital services, the right of complaint is granted for 24 months from the time of delivery.
  • Any defects must be reported in writing to Popcorn Media. The seller reserves the right to remedy the defect or provide a new service.

19. Liability and Limitation of Liability

  • Popcorn Media is liable for direct losses resulting from a material breach of the agreement, however, not exceeding the amount paid by the customer for the service in question.
  • The seller cannot be held liable for indirect losses, including operating losses, lost earnings or consequential damages, unless otherwise agreed in writing.

20. Subscription and payment

At Markedsoversigtigen.dk we offer subscription-based services for receiving updates about flea markets. By signing up for our SMS service you accept the following subscription terms:

Payment and invoicing

When you sign up for our SMS service, you can choose between monthly or annual payment. Payment will be automatically deducted from your account according to the payment plan you have chosen. You will be charged on the date you signed up and will automatically renew at each term (monthly or annual).

Monthly payment

With monthly payment, the subscription fee will be automatically deducted from your account each month on the date you originally signed up.

Annual payment

If you choose annual payment, you will be charged for a full year at once and you will receive a discount compared to the monthly payment. Annual payment requires one one-time payment upon signup.

Discount when choosing multiple regions or islands

You can select multiple regions or islands to receive updates about flea markets in those areas. If you select more than one region or island, we will give you a 25% discount on the subscription price for the additional regions you add.

Subscription cancellation

There is no commitment period on the subscription. You can cancel your subscription at any time and you will not be charged any additional payments after the canceled period. Any charges will continue until the end of the current subscription period.

Right of withdrawal

According to Danish law, you as a consumer have the right to cancel your subscription and get your money back if you cancel the subscription within 14 days from the date the agreement was entered into (the Consumer Contracts Act). If the provision of the service has begun with your consent, the right of cancellation lapses.

No SMS fees

There are no additional SMS fees beyond the subscription amount you pay. The price you pay for the subscription covers all costs of receiving updates via SMS.

Changing subscription plan

You can change your subscription plan (e.g. from monthly to annual payment) at any time. Changes will take effect on your next billing cycle, and you will be charged the changed subscription price starting with your next billing cycle.

Automatic renewal and cancellation

Your subscription will automatically renew at the end of each period (monthly or annually) unless you cancel your subscription within 24 hours before the next renewal. To cancel your subscription, log in to your account and follow the cancellation process. You can also contact customer service for assistance.

Customer responsibility

You are responsible for ensuring that your payment information is up to date and that there are sufficient funds in your account to cover the subscription fee. If there are any payment issues, your subscription will be suspended until payment is completed.

Legal liability and disputes

All subscriptions are subject to Danish law. Any disputes shall be handled in accordance with applicable consumer rights and legislation in Denmark. If you are not satisfied with your service, you can contact us for help in resolving any issues.

Return and Refund Policy

Introduction

This return and refund policy applies to purchases of advertising space on our platform, including ads on social media (SoMe), markdsoversigten.dk and newsletters. When you as a market organizer, company, or private individual purchase advertising space, all purchases are final, and we do not offer returns or refunds once the ad has been publicly available.

No Returns or Refunds

Purchases of digital services, including advertisements on social media, markdsoversigten.dk and in newsletters, cannot be returned or refunded once the advertisement has been publicly available on one of these platforms. Once the advertisement has been published, the service is considered fully delivered and the purchase cannot be cancelled. This is in accordance with Danish law and EU distance selling rules, where there is no right of cancellation for digital services that have been initiated with the customer's consent.

Cancellation before Publication

If you wish to cancel an ad, please contact us as soon as possible before the ad has been published on any platform (SoMe, markdsoversigten.dk or in newsletters). If the ad has not yet been published, we may attempt to accommodate your request, but we cannot guarantee that the cancellation can be completed.

Changes to Ads

If you wish to change the content of an ad that has already been purchased, you can contact us before the ad has been published. Changes can only be made if the ad has not yet been visible on any of our platforms. After publication, changes require a new purchase of ad space.

Technical Problems

If technical problems arise that prevent your ad from being displayed correctly on markdsoversigten.dk, in the newsletter or on social media, we will correct the error as soon as possible. As compensation, we may extend the agreed ad period, but no refund will be provided.

Subscription Return and Refund Policy

At Markedsoversigten.dk we offer a flexible return and refund policy for our subscription-based services. If you have signed up for our SMS service, the following conditions apply for returns and refunds:

Right of withdrawal and cancellation

As a consumer, you have the right to cancel your purchase and receive a refund if you cancel your subscription within 14 days from the date on which the contract was concluded. The right of cancellation only applies if the service has not been delivered (i.e. you have not yet received any SMS updates). Once you have received your first SMS, the right of cancellation lapses, as the delivery of a digital service is deemed to have begun with your consent.

Subscription cancellation

If you wish to cancel your subscription after the cancellation period, you may do so at any time without additional fees. You will be charged until the end of the current subscription period (month or year) and the subscription will not be renewed after that period.

No refunds after delivery has begun

Once you have received your first update via SMS, the service is considered delivered and you cannot get a refund for the service already delivered. If you choose to cancel your subscription, we will stop sending updates, but any payments for that period will not be refunded.

Changes and technical issues

If technical issues arise that prevent the provision of the service, we will correct the error as soon as possible. We do not offer refunds for technical issues, but may extend the subscription for the period during which the service was unavailable.

Using the platform to find and look up markets is free for both market organizers and visitors. This policy applies to the paid services, including subscription services, advertising and other advertising-related services offered to market organizers, companies and private individuals.

Provision of Services

When you as a market organizer, company or private individual purchase advertising space, advertising or sign up for a subscription service, the service will be delivered in digital form. We do not offer physical products, and therefore delivery is exclusively online. For subscription services, updates are delivered via SMS. The advertising space is activated after purchase and implemented on the website or via SMS service within the agreed period.

Process for Delivery of Ads and Subscriptions

After successful purchase, your ad will be placed in the agreed location on the website, e.g. in banner spaces, featured sections, or in newsletters, depending on the service selected. If you sign up for our subscription service, you will start receiving SMS updates within the chosen timeframe (monthly or annually). We ensure that your ad is displayed during the period and with the conditions agreed upon during the purchase, and that you receive the relevant updates via SMS as agreed.

Delivery time

Delivery of the digital advertising space will normally take place within 24-48 hours of receipt of payment, unless otherwise specifically agreed between the parties. For subscription services, SMS updates will begin to be sent immediately after payment has been made and the subscription has been activated. If there are any delays or technical issues that affect delivery, we will inform you immediately and make every effort to correct the error as soon as possible.

Proofreading and Approval

If your order includes advertising design or setup, you will receive a proof for approval before the ad goes live. It is your responsibility to ensure that all content is correct. Once you have approved the proof, delivery is considered complete and the ad will be published on the agreed date. For subscription services, you must approve your preferences (e.g. which regions or islands you want to receive updates for) before the service is activated.

Right of withdrawal

Under EU distance selling rules, as a business or private individual, you do not have a right of withdrawal for purchases of digital services once the delivery of the service has begun and you have given your consent for the delivery to start. Once you have approved your advert or received delivery confirmation, your right to withdraw from the purchase lapses. For subscription services, the right of withdrawal lapses when you receive the first SMS update.

Cancellation and Changes

If you wish to cancel or change an ordered advertisement, please contact us as soon as possible before the advertisement has been published. We will do our best to accommodate your request, but cannot guarantee changes if the advertising has already started. When changing subscription service, you can adjust your preferences or cancel your subscription at any time. Changes will take effect upon the next renewal.

Technical Problems

If there are technical issues with the display of your ad or the delivery of SMS updates due to our system, we will extend the ad period or subscription period by the time the ad or updates were unavailable, free of charge. We strive to resolve technical errors quickly and efficiently.

Responsibility

We are responsible for delivering the purchased digital services in accordance with the agreed advertising package or subscription plan. Our liability is limited to the correct delivery of the paid services and updates, and we cannot be held responsible for external factors such as technical problems on users' devices or third-party providers.
